Responsibilities
- Lead and manage complex M&A transactions from initial due diligence through closing and post-acquisition integration.
- Draft, review, and negotiate a wide range of transactional documents, including purchase agreements, merger agreements, and ancillary agreements.
- Provide strategic legal counsel to clients on corporate governance, securities laws, and general corporate matters.
- Conduct comprehensive legal research and analysis to advise on evolving regulatory landscapes and industry-specific compliance issues.
- Collaborate effectively with cross-functional internal teams and external stakeholders, including financial advisors and regulatory bodies.
- Manage outside counsel relationships and oversee legal work performed by third-party providers.
- Develop and implement best practices for transaction execution and risk management.
- Mentor junior attorneys and contribute to the firm's knowledge management initiatives.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Admission in good standing to the New York State Bar.
- Minimum of 7-10 years of experience in corporate law with a significant focus on M&A transactions, preferably at a top-tier law firm or in-house legal department.
- Proven expertise in drafting and negotiating sophisticated corporate agreements and transaction documents.
- Strong understanding of corporate finance, securities laws, and regulatory compliance within M&A contexts.
- Exceptional analytical, problem-solving, and communication skills, both written and verbal.
- Demonstrated ability to manage multiple projects concurrently, meet tight deadlines, and thrive in a fast-paced environment.
- A proactive, client-focused approach with a commitment to delivering high-quality legal advice.
- Experience with private equity transactions and cross-border M&A is a significant advantage.
