Responsibilities
- Lead negotiations and drafting for cross-border M&A transactions, valuations exceeding $500M
- Develop corporate governance frameworks for public and private entities
- Advise on SEC compliance, Dodd-Frank regulations, and international securities laws
- Manage due diligence processes for private equity and venture capital investments
- Collaborate with litigation teams on corporate disputes and regulatory investigations
- Mentor junior associates and paralegals on transactional best practices
Qualifications
- Juris Doctor (JD) from ABA-accredited law school
- 10+ years of corporate law experience at top-tier law firms
- Bar admission in New York and active membership in good standing
- Proven track record in M&A, SEC filings, and corporate restructuring
- Expertise in drafting complex transactional documents (SPA, LPA, IPAs)
- Fluency in international regulatory frameworks (EU, APAC)
- Exceptional negotiation skills with client-facing experience
