Responsibilities
- Advise C-suite executives on M&A transactions, corporate restructuring, and compliance matters
- Draft and negotiate complex commercial agreements including joint ventures and licensing deals
- Manage litigation portfolios and regulatory investigations with external counsel coordination
- Develop corporate governance frameworks and board policies for multinational entities
- Lead due diligence processes for $100M+ transactions across multiple jurisdictions
- Mentor junior attorneys while maintaining billable hour targets
Qualifications
- Juris Doctor (JD) from ABA-accredited law school with top 20% academic standing
- 8+ years of corporate law experience at AmLaw 100 firm or in-house legal department
- Bar admission in New York with active SEC registration
- Proven expertise in SEC filings and Dodd-Frank compliance
- Advanced proficiency in contract lifecycle management software (e.g., DocuSign CLM)
- Exceptional analytical skills with ability to synthesize complex financial data
- Previous experience advising on cross-border transactions in EMEA/APAC markets
