Responsibilities
- Lead and manage all legal aspects of mergers, acquisitions, divestitures, and strategic investments from inception to close.
- Draft, review, and negotiate complex technology agreements, including SaaS, licensing, intellectual property, joint venture, and strategic partnership agreements.
- Provide expert legal advice on data privacy (e.g., CCPA, GDPR), cybersecurity, and regulatory compliance within the technology sector.
- Advise executive leadership and business units on corporate governance, intellectual property protection, and commercial legal matters.
- Manage outside counsel effectively, ensuring high-quality, cost-efficient legal services.
- Develop and implement legal policies, procedures, and training programs to mitigate risk and ensure compliance.
- Anticipate and identify potential legal risks, developing proactive strategies to safeguard company interests.
- Collaborate cross-functionally with product, engineering, sales, and finance teams to provide practical, business-oriented legal solutions.
Qualifications
- Juris Doctor (J.D.) degree from an accredited law school.
- Admission in good standing to the New York State Bar.
- Minimum of 8-12 years of progressive legal experience, with a significant focus on M&A and technology transactions, preferably gained at a top-tier law firm or in-house at a technology company.
- Proven expertise in drafting and negotiating complex commercial agreements, intellectual property licensing, and data privacy terms.
- Strong understanding of relevant legal frameworks affecting the technology industry (e.g., data protection, open source, antitrust).
- Exceptional analytical, negotiation, and communication skills, with the ability to convey complex legal concepts clearly to non-legal stakeholders.
- Demonstrated ability to manage multiple projects simultaneously in a dynamic, fast-paced environment.
