Responsibilities
- Lead due diligence and risk assessment for multi-jurisdictional M&A transactions valued at $500M+
- Develop and implement corporate governance frameworks for public and private entities
- Advise C-suite executives on SEC compliance, fiduciary duties, and board governance
- Negotiate and draft complex commercial agreements, including strategic partnerships and licensing deals
- Manage litigation strategy and external counsel relationships for high-stakes disputes
- Drive legal innovation through AI contract analysis and blockchain compliance solutions
- Mentor junior attorneys and lead cross-functional legal initiatives
Qualifications
- Juris Doctor degree from ABA-accredited law school and admission to NY Bar
- 8+ years of corporate law experience at top-tier law firms or in-house legal departments
- Proven track record leading M&A transactions and SEC compliance programs
- Expertise in corporate governance, securities regulations, and cross-border transactions
- Strong negotiation skills with demonstrated success in complex commercial agreements
- Experience managing legal technology implementations and process optimization
- Excellent academic credentials (top 25% law school class preferred)
