Responsibilities
- Lead and manage complex cross-border M&A transactions, including due diligence and drafting of transaction documents.
- Provide strategic legal advice on corporate governance, joint ventures, and capital market offerings.
- Negotiate intricate terms within purchase agreements and related financing documents.
- Supervise, mentor, and train junior associates to foster professional growth within the deal team.
- Collaborate with internal tax, IP, and regulatory specialists to ensure comprehensive deal strategy.
- Maintain strong relationships with high-profile clients, acting as a primary point of contact for day-to-day legal operations.
Qualifications
- Juris Doctor (JD) degree from a top-tier accredited law school.
- Admission to the New York State Bar in good standing.
- 5-8 years of substantive experience in corporate law at an Am Law 50 firm.
- Proven track record of managing large-scale M&A or private equity transactions.
- Exceptional drafting, analytical, and interpersonal communication skills.
