Responsibilities
- Lead due diligence and risk assessment for multi-million dollar M&A transactions
- Draft and negotiate complex purchase agreements, disclosure schedules, and ancillary documents
- Advise clients on regulatory compliance (SEC, DOJ, FTC) and antitrust matters
- Manage cross-border deal structures involving international jurisdictions
- Collaborate with tax, IP, and litigation teams on integrated deal strategies
- Mentor junior associates and paralegals on transactional best practices
Qualifications
- Juris Doctor degree from ABA-accredited law school
- 8+ years of corporate/M&A experience at a top-tier law firm
- Admitted to New York State Bar with active membership
- Proven track record in handling cross-border transactions (EMEA/APAC preferred)
- Superior negotiation skills with transactional document expertise
- Strong academic credentials (top 25% of law school class)
- Proficiency in deal management software (Diligence Engine, DealCloud)
