Responsibilities
- Lead and manage complex corporate transactions, including M&A, joint ventures, and private equity deals.
- Draft, review, and negotiate highly complex commercial agreements, term sheets, and shareholder documents.
- Provide strategic legal counsel to C-suite executives on corporate governance, compliance, and risk management.
- Conduct and oversee comprehensive due diligence investigations.
- Supervise, mentor, and develop junior associates and paralegals to foster a high-performing legal team.
- Represent the firm in high-level negotiations, ensuring optimal outcomes for our clients.
- Stay abreast of evolving regulatory frameworks and industry trends to proactively advise clients.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited, top-tier law school.
- Active member in good standing with the New York State Bar.
- Minimum of 5+ years of substantive corporate law experience at a top-tier law firm.
- Deep expertise in mergers and acquisitions, corporate finance, and securities regulations.
- Exceptional drafting, negotiation, and analytical skills with a proven track record of closing complex deals.
- Outstanding communication and interpersonal skills, with the ability to build trust with high-profile clients.
- Demonstrated leadership capabilities and a commitment to mentoring junior staff.
