Responsibilities
- Lead M&A transactions, IPOs, and venture capital funding rounds ($50M-$500M+)
- Draft and negotiate complex commercial contracts, NDAs, and licensing agreements
- Advise C-suite executives on SEC compliance, corporate governance, and risk mitigation
- Manage litigation strategy and coordinate with external counsel for high-stakes disputes
- Develop and implement legal workflows for emerging technologies (AI, blockchain, SaaS)
- Mentor junior attorneys and conduct legal training for client stakeholders
Qualifications
- Juris Doctor (JD) from ABA-accredited law school with top 10% academic standing
- 10+ years of corporate law experience at AmLaw 100 or Big 4 law firms
- Bar admission in New York and eligibility for NY in-house counsel certification
- Proven track record in closing 50+ M&A deals or $1B+ transaction volume
- Advanced expertise in SEC regulations (Regulation D, CF, S-K) and SOX compliance
- Exceptional research and writing skills with published legal analysis or articles
- Proficiency in legal tech (Contract Lifecycle Management, AI-assisted research)
