Responsibilities
- Draft, review, and negotiate high-value commercial agreements and master service contracts.
- Provide expert legal counsel on mergers, acquisitions, and divestiture strategies.
- Ensure rigorous compliance with SEC regulations and corporate governance standards.
- Oversee external counsel engagements and manage litigation risk across multiple jurisdictions.
- Develop and implement internal legal policies to optimize operational efficiency.
- Advise executive leadership on intellectual property protection and cybersecurity compliance.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active admission to the New York State Bar in good standing.
- Minimum of 7-10 years of experience in corporate law, preferably at a top-tier law firm or in-house at a multinational corporation.
- Deep subject matter expertise in M&A, securities law, and commercial contracts.
- Exceptional analytical skills with the ability to translate complex legal issues into actionable business advice.
- Proven track record of managing multi-disciplinary legal projects under tight deadlines.
