Responsibilities
- Lead due diligence and structuring for multi-jurisdictional M&A transactions exceeding $500M
- Advise clients on SEC compliance, corporate governance, and risk mitigation strategies
- Draft and negotiate complex commercial agreements including licensing, joint ventures, and IP licensing
- Manage litigation portfolios and oversee external counsel relationships
- Develop innovative legal solutions for emerging technologies and digital assets
- Mentor junior attorneys and drive knowledge-sharing initiatives
Qualifications
- Juris Doctor degree from ABA-accredited law school
- Admitted to New York State Bar with 8+ years of corporate law experience
- Proven track record in M&A transactions and SEC compliance
- Expertise in fintech or healthcare regulations preferred
- Superior analytical skills with ability to simplify complex legal concepts
- Strong business acumen and client relationship management skills
- Certification in eDiscovery technology (e.g., Relativity) a plus
