Responsibilities
- Draft, review, and negotiate complex transactional documents including merger agreements and stock purchase agreements.
- Lead due diligence processes for high-profile cross-border acquisitions and divestitures.
- Coordinate with cross-functional teams, including tax, intellectual property, and labor departments.
- Manage client relationships and act as a primary point of contact for daily transactional inquiries.
- Supervise and mentor junior associates, ensuring high-quality work output and professional development.
- Participate in firm-wide business development initiatives and client-facing events.
- Maintain compliance with internal billing standards and ethical professional obligations.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school with an outstanding academic record.
- Admission to the New York State Bar in good standing.
- 5-8 years of experience in corporate law, specifically within a nationally recognized M&A practice.
- Proven expertise in managing complex deal workflows from inception to closing.
- Exceptional analytical, written, and oral communication skills.
