Responsibilities
- Draft and negotiate complex merger and acquisition agreements, joint venture documents, and corporate governance filings.
- Lead due diligence processes and coordinate with cross-functional teams, including tax, IP, and labor specialists.
- Advise boards of directors and executive management on fiduciary duties and regulatory compliance.
- Manage day-to-day transaction workflows and delegate effectively to junior associates and paralegals.
- Maintain high-level communication with domestic and international clients throughout the deal lifecycle.
- Represent the firm at industry events and participate in business development initiatives.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school with an excellent academic record.
- Admission to the New York State Bar in good standing.
- 5-8 years of substantive experience in corporate law at a peer-tier law firm.
- Proven expertise in managing multi-faceted M&A transactions and capital markets offerings.
- Exceptional drafting, analytical, and interpersonal skills.
- Demonstrated ability to thrive in a fast-paced, client-focused environment.
- Ability to lead teams and foster a collaborative, high-performance culture.
