Responsibilities
- Manage complex commercial transactions, including mergers, acquisitions, and joint ventures.
- Draft, review, and negotiate high-stakes master service agreements and licensing contracts.
- Provide proactive legal counsel to senior executive teams regarding regulatory compliance and risk management.
- Lead internal due diligence processes for corporate restructuring projects.
- Collaborate with cross-functional departments to ensure alignment on legal strategy and business objectives.
- Supervise and mentor junior associates to foster professional development and high performance.
- Maintain comprehensive oversight of corporate governance and board-related documentation.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing with the New York State Bar.
- Minimum of 7-10 years of experience in a top-tier law firm or in-house corporate legal department.
- Expertise in corporate law, commercial contracts, and regulatory frameworks.
- Proven track record of managing complex transactions and delivering results under tight deadlines.
- Exceptional verbal and written communication skills with the ability to influence key stakeholders.
- High degree of professional ethics, integrity, and sound judgment.
