Responsibilities
- Lead complex domestic and cross-border M&A transactions from due diligence to closing.
- Draft and negotiate sophisticated commercial agreements, including purchase and sale agreements and joint venture documents.
- Provide strategic legal counsel to Board of Directors and C-suite executives on corporate governance and fiduciary duties.
- Mentor junior associates and oversee the workflow of legal assistants and paralegals.
- Manage transaction timelines and coordinate with multi-disciplinary global teams.
- Review and analyze complex regulatory filings and ensure compliance with SEC requirements.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school with excellent academic credentials.
- Admission to the New York State Bar in good standing.
- 5-8 years of top-tier law firm experience in a corporate or M&A practice group.
- Proven ability to manage large-scale projects with minimal supervision.
- Exceptional drafting, analytical, and negotiation skills.
- Superior interpersonal skills with the ability to build long-term client relationships.
- Detail-oriented mindset with the ability to thrive in a high-pressure, fast-paced environment.
