Responsibilities
- Lead complex due diligence processes for multi-million dollar M&A transactions.
- Draft and negotiate sophisticated commercial agreements, including purchase and sale agreements and joint venture contracts.
- Advise executive clients on corporate governance, fiduciary duties, and regulatory compliance matters.
- Mentor and supervise junior associates to ensure excellence in legal research and drafting.
- Collaborate with cross-functional teams, including tax and intellectual property departments, to provide holistic client solutions.
- Manage transaction closings, ensuring all documentation meets rigorous regulatory and internal standards.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school with a stellar academic record.
- Admission to the New York State Bar in good standing.
- 5–8 years of substantive experience in a top-tier law firm focusing on corporate and transactional law.
- Expertise in drafting complex legal instruments and leading deal negotiations.
- Exceptional analytical, communication, and interpersonal skills.
