Responsibilities
- Lead complex M&A transactions and joint ventures across multiple jurisdictions
- Advise clients on SEC compliance, Sarbanes-Oxley, and Dodd-Frank regulations
- Draft and negotiate definitive agreements (SPA, JVA, shareholder agreements)
- Develop corporate governance frameworks for public and private entities
- Manage cross-functional legal teams and external counsel coordination
- Present strategic legal recommendations to C-suite executives
Qualifications
- Juris Doctor degree from ABA-accredited law school
- 8+ years of corporate law experience at top-tier law firms
- Admitted to New York Bar with active license
- Proven M&A transactional experience with $500M+ deals
- Expertise in SEC filings and regulatory compliance frameworks
- Superior negotiation and drafting skills for complex contracts
- Ability to manage high-pressure deadlines and multiple priorities
