Responsibilities
- Lead complex M&A transactions including due diligence, negotiations, and regulatory compliance
- Advise C-suite executives on corporate governance and SEC compliance matters
- Draft and negotiate sophisticated commercial contracts and licensing agreements
- Manage litigation risk and coordinate with external counsel for dispute resolution
- Develop legal frameworks for emerging technologies and digital transformation initiatives
- Mentor junior associates and drive continuous improvement in legal operations
Qualifications
- Juris Doctor (JD) from ABA-accredited law school with top 20% academic standing
- 8+ years of corporate law experience at a top-tier law firm or in-house legal department
- Bar admission in New York State and eligibility for NY in-house counsel registration
- Expertise in M&A, SEC filings, and cross-border transactional work
- Proven track record managing complex legal matters with minimal supervision
- Exceptional analytical skills and ability to translate legal concepts into business strategy
- Strong proficiency in legal tech tools (e.g., DocuSign, Westlaw Edge)
