Responsibilities
- Lead end-to-end M&A transactions including due diligence, negotiation, and drafting of complex agreements
- Advise clients on corporate governance best practices, SEC compliance, and shareholder rights
- Develop innovative legal solutions for cross-border transactions and international expansions
- Manage high-stakes litigation matters and alternative dispute resolution strategies
- Mentor junior attorneys and contribute to firm-wide knowledge management initiatives
- Build and maintain client relationships through proactive communication and strategic counsel
Qualifications
- Juris Doctor (JD) degree from ABA-accredited law school
- Active New York State Bar membership in good standing
- Minimum 7+ years of corporate law experience at a top-tier law firm
- Proven track record in handling multi-million dollar M&A transactions
- Expertise in SEC regulations and corporate governance frameworks
- Exceptional research, negotiation, and persuasive writing skills
- Admission to at least one additional state bar is preferred
