Responsibilities
- Draft and negotiate complex commercial contracts, licensing agreements, and vendor partnerships.
- Provide strategic legal counsel to executive leadership regarding corporate governance and risk mitigation.
- Lead and manage multi-jurisdictional M&A transactions from due diligence to closing.
- Ensure firm-wide compliance with SEC regulations and evolving federal trade laws.
- Mentor junior associates and provide oversight on internal legal research projects.
- Coordinate with outside counsel on high-stakes litigation and specialized regulatory filings.
- Develop internal legal policies to optimize operational efficiencies.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing with the New York State Bar.
- Minimum of 7+ years of experience in corporate law at a top-tier law firm or in-house legal department.
- Expert-level proficiency in drafting complex corporate documentation and transaction agreements.
- Proven track record of successfully managing high-value, cross-border transactions.
- Strong business acumen with the ability to translate legal risks into actionable business strategies.
- Exceptional verbal and written communication skills with high attention to detail.
