Responsibilities
- Lead due diligence and structuring of multi-million dollar M&A transactions
- Draft and negotiate complex commercial contracts, NDAs, and licensing agreements
- Advise C-suite executives on SEC compliance and corporate governance
- Manage litigation strategy and regulatory investigations
- Mentor junior attorneys and develop departmental training programs
- Drive innovation in legal tech solutions and process automation
Qualifications
- Juris Doctor (JD) from ABA-accredited law school
- 8+ years of corporate law experience at a top-tier law firm
- Active New York State Bar membership in good standing
- Proven expertise in M&A transactions and contract negotiation
- Strong SEC compliance and corporate governance background
- Excellent analytical skills with attention to detail
