Responsibilities
- Draft, review, and negotiate complex commercial agreements and corporate contracts.
- Provide expert legal counsel to high-profile executive clients on governance and risk management.
- Lead and manage multi-jurisdictional M&A transactions from due diligence to closing.
- Ensure firm-wide compliance with evolving federal and state corporate regulations.
- Collaborate with internal stakeholders to align legal strategies with business objectives.
- Represent the firm in high-stakes negotiations and board-level meetings.
- Mentor junior associates to uphold our standards of legal excellence.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing of the New York State Bar.
- 7+ years of experience in corporate law at a top-tier law firm or in-house legal department.
- Proven track record of managing complex, high-value corporate transactions.
- Exceptional verbal and written communication skills with high attention to detail.
- Ability to thrive in a fast-paced, high-pressure environment.
- Expertise in SEC filings, corporate restructuring, and international law.
