Responsibilities
- Lead M&A transactions, joint ventures, and strategic partnerships from due diligence to closing
- Advise C-suite executives on corporate governance, SEC compliance, and risk management
- Develop and implement global compliance frameworks across multiple jurisdictions
- Manage outside counsel relationships and optimize legal spend through innovative technology
- Design and deliver legal training programs for 200+ employees worldwide
- Drive ESG initiatives and sustainability policy development
- Mentor junior attorneys and lead diversity initiatives in the legal department
Qualifications
- Juris Doctor degree from ABA-accredited law school and active NY Bar membership
- 10+ years of corporate law experience with Big Law or in-house counsel at Fortune 500 companies
- Proven track record in M&A transactions exceeding $500M valuation
- Deep expertise in SEC regulations, corporate governance, and cross-border transactions
- Advanced proficiency in legal technology (e-discovery, contract automation, matter management)
- Certification in Corporate Governance (CCG) or Compliance (CRCM) preferred
- Exceptional negotiation skills with documented cost-saving achievements
- Admitted to practice in at least 2 US jurisdictions
