Responsibilities
- Draft and negotiate complex commercial agreements including M&A, licensing, and strategic partnerships.
- Provide proactive legal counsel to executive leadership on corporate governance and risk mitigation.
- Lead internal investigations and manage regulatory compliance programs across multiple jurisdictions.
- Oversee outside counsel and manage departmental budgets for specific legal projects.
- Ensure corporate filings and internal policies remain compliant with evolving state and federal regulations.
- Structure high-value business deals to optimize tax efficiency and limit corporate liability.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing of the New York State Bar.
- Minimum of 7-10 years of experience in corporate law within a top-tier firm or in-house legal department.
- Proven expertise in cross-border M&A and complex contract negotiation.
- Exceptional analytical, written, and verbal communication skills.
- Demonstrated ability to lead cross-functional teams in high-pressure environments.
- Proficiency in legal research tools and entity management software.
