Responsibilities
- Draft, review, and negotiate complex commercial agreements including M&A, joint ventures, and licensing contracts.
- Provide proactive legal counsel to executive leadership regarding corporate governance, risk management, and regulatory compliance.
- Oversee outside counsel and manage legal budgets for large-scale litigation and transactional matters.
- Lead internal compliance audits and implement robust policy frameworks to mitigate operational risk.
- Manage intellectual property portfolios and advise on strategic brand protection initiatives.
- Facilitate board meetings and prepare comprehensive corporate records and filings.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Current active membership in the New York State Bar.
- Minimum of 7-10 years of experience in a top-tier law firm or as in-house counsel for a multinational corporation.
- Deep expertise in corporate law, commercial litigation, and regulatory frameworks.
- Proven ability to manage high-stakes negotiations and provide strategic advice to C-suite executives.
- Exceptional analytical, written, and verbal communication skills.
- Demonstrated leadership capabilities and experience mentoring junior associates.
