Responsibilities
- Provide high-level legal counsel on mergers, acquisitions, and complex commercial transactions.
- Draft, review, and negotiate intricate corporate agreements including joint ventures and licensing deals.
- Ensure corporate compliance with SEC regulations and internal governance policies.
- Advise executive leadership on risk mitigation and strategic legal positioning.
- Manage external counsel and cross-functional legal teams on high-stakes litigation and transactional projects.
- Oversee due diligence processes for corporate restructuring and capital market activities.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing with the New York State Bar.
- Minimum of 7-10 years of experience in corporate law at a reputable firm or in-house legal department.
- Expertise in M&A, corporate governance, and securities law.
- Proven ability to manage high-pressure situations and complex negotiations.
- Exceptional analytical, communication, and drafting skills.
- Demonstrated leadership capabilities and mentorship experience.
