Responsibilities
- Manage M&A transactions, joint ventures, and strategic partnerships from due diligence to closing
- Advise on corporate governance, SEC filings, and board governance best practices
- Develop and implement compliance programs for multinational corporations
- Negotiate and draft complex commercial contracts, licensing agreements, and SaaS terms
- Lead cross-functional legal teams on multi-jurisdictional projects
- Mentor junior attorneys and contribute to firm-wide legal initiatives
Qualifications
- Juris Doctor (JD) from ABA-accredited law school
- 8+ years of corporate law experience at a top-tier law firm
- Bar admission in New York and active membership in good standing
- Proven expertise in M&A transactions and securities regulations
- Strong academic credentials (top 25% law school rank)
- Excellent negotiation skills with ability to manage complex stakeholder relationships
- Certification in corporate compliance (e.g., CCEP) preferred
