Responsibilities
- Lead complex negotiations for mergers, acquisitions, and strategic divestitures.
- Advise executive boards on corporate governance, fiduciary duties, and regulatory compliance.
- Draft and negotiate high-stakes commercial agreements, including joint ventures and licensing deals.
- Oversee due diligence processes for multi-million dollar corporate transactions.
- Manage external counsel and cross-functional internal teams to ensure project success.
- Monitor evolving legal landscapes and provide actionable insights on legislative changes.
- Mentoring and supervising junior associates within the corporate practice group.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active member in good standing of the New York State Bar.
- Minimum of 7-10 years of corporate legal experience at a top-tier law firm or in-house legal department.
- Expertise in SEC regulations, securities filings, and corporate restructuring.
- Demonstrated ability to manage high-pressure deal timelines with precision.
- Exceptional verbal and written communication skills with strong executive presence.
- Proven track record of managing complex client relationships independently.
