Responsibilities
- Lead due diligence and negotiation of high-value M&A transactions exceeding $500M
- Advise clients on SEC compliance, corporate governance, and cross-border regulatory matters
- Develop innovative contract frameworks for strategic partnerships and joint ventures
- Mentor junior attorneys while managing complex litigation dockets
- Present legal strategies to C-suite executives and board committees
- Drive digital transformation initiatives within legal operations
Qualifications
- Juris Doctor from ABA-accredited institution with NY Bar admission
- 7+ years of corporate law experience at AmLaw 100 firm
- Proven track record in M&A transactions with $1B+ deal values
- Advanced certification in corporate compliance (e.g., CCEP)
- Expertise in drafting SEC filings and 10-K/Q statements
- Superior negotiation skills with multi-jurisdictional experience
- Admission to at least one additional state bar preferred
