Responsibilities
- Provide strategic legal counsel for mergers, acquisitions, and corporate restructuring transactions
- Manage compliance with SEC regulations and financial industry standards
- Draft and negotiate complex commercial agreements, including SaaS, partnership, and licensing contracts
- Lead intellectual property protection strategies for proprietary fintech innovations
- Advise executive leadership on corporate governance best practices
- Oversee litigation management and dispute resolution processes
- Develop and implement risk mitigation frameworks for emerging technologies
Qualifications
- Juris Doctor (JD) degree from ABA-accredited law school
- 10+ years of corporate law experience with Big Law or in-house counsel at financial services firms
- Active New York State Bar membership in good standing
- Proven expertise in SEC regulations and fintech compliance frameworks
- Exceptional negotiation skills with $50M+ transaction experience
- Advanced proficiency in contract lifecycle management systems
- Strong academic credentials (top 25% of law school class preferred)
- Certified Information Privacy Professional (CIPP) designation a plus
