Responsibilities
- Lead due diligence and risk assessment for $50M+ M&A transactions
- Advise C-suite executives on SEC compliance and corporate governance
- Draft and negotiate high-stakes commercial contracts (SaaS, licensing, IP)
- Manage litigation strategy for intellectual property disputes
- Develop AI-driven legal process automation solutions
- Mentor junior attorneys and supervise contract review workflows
- Represent clients in regulatory hearings with DOJ and FTC
Qualifications
- 10+ years of corporate law experience at AmLaw 100 firm
- Active NY State Bar license (admitted 2013 or earlier)
- Expertise in fintech/SaaS regulatory frameworks
- Proven track record in M&A due diligence ($100M+ deals)
- Advanced contract management certification (CLM preferred)
- Proficiency in legal tech (e.g., Kira, Relativity)
- JD from top-20 law school with honors
- Fluent in Spanish for international client engagements
