Responsibilities
- Lead M&A transactions, IPOs, and corporate restructuring deals
- Advise on SEC compliance, corporate governance, and risk management
- Draft complex commercial contracts and negotiate terms with stakeholders
- Manage litigation strategy and partner with external counsel
- Mentor junior attorneys and optimize legal workflows
- Develop innovative solutions for emerging legal tech challenges
Qualifications
- JD from ABA-accredited law school and active NY Bar membership
- 8+ years of corporate law experience at AmLaw 100 firm
- Proven track record in M&A and securities transactions
- Advanced contract drafting/negotiation expertise
- Strong SEC compliance and governance knowledge
- Exceptional legal research and persuasive writing skills
- Experience managing cross-functional legal teams
