Responsibilities
- Lead negotiation and drafting of multi-jurisdictional M&A agreements and joint venture contracts
- Advise clients on SEC compliance, corporate governance best practices, and board governance structures
- Manage complex due diligence processes for cross-border transactions valued up to $500M
- Develop corporate policies ensuring adherence to evolving regulatory landscapes (Dodd-Frank, GDPR)
- Mentor junior associates through our structured pro bono program and training initiatives
- Represent clients in regulatory hearings and arbitration proceedings
Qualifications
- Juris Doctor (J.D.) from ABA-accredited law school with admission to New York Bar
- 7+ years of corporate law experience at top-tier law firms or in-house legal departments
- Proven expertise in M&A transactions and corporate structuring for public companies
- Advanced certification in corporate compliance (e.g., CCEP) or LLM in Corporate Law
- Exceptional analytical skills with ability to interpret complex financial statements and regulatory frameworks
- Strong track record of managing high-stakes litigation and regulatory matters
- Fluency in Spanish or Mandarin preferred for international client engagements
