Responsibilities
- Lead corporate governance initiatives, board advisory, and SEC compliance for multinational clients
- Structure and negotiate complex M&A transactions, joint ventures, and strategic partnerships
- Develop and implement global compliance programs addressing data privacy, anti-corruption, and ESG regulations
- Manage litigation strategy and dispute resolution across federal and international jurisdictions
- Advise on intellectual property protection, licensing, and technology commercialization strategies
- Mentor junior counsel through case reviews, training programs, and professional development initiatives
- Monitor legislative developments and provide proactive risk assessments for emerging technologies and industries
Qualifications
- Juris Doctor (JD) degree from ABA-accredited institution with admission to New York Bar
- 8+ years of corporate law experience at top-tier law firm or in-house legal department
- Proven expertise in M&A transactions, regulatory compliance, and corporate governance
- Exceptional negotiation skills with track record of securing favorable commercial terms
- Experience managing outside counsel and legal budgets exceeding $5M annually
- Strong academic credentials (top 25% law school) and demonstrated leadership abilities
- Adaptability to hybrid work environment with 2 days/week in-office collaboration
