Responsibilities
- Lead M&A due diligence, drafting, and execution for multi-billion dollar transactions
- Develop regulatory compliance frameworks for SEC, FINRA, and international regulators
- Advise on corporate governance, board governance, and shareholder rights matters
- Manage litigation risks and direct external counsel for complex disputes
- Create and implement ethical guidelines and risk mitigation protocols
- Mentor junior attorneys and conduct legal training for business stakeholders
- Stay current on evolving fintech regulations and blockchain compliance
Qualifications
- Juris Doctor (JD) from ABA-accredited law school with top 20% academic standing
- 8+ years of corporate law experience at a top-tier law firm or in-house legal department
- Bar admission in New York State and active membership in good standing
- Proven expertise in M&A, securities regulation, and financial services compliance
- Exceptional negotiation skills with documented success in high-value deals
- Advanced proficiency in contract lifecycle management software (e.g., DocuSign, Icertis)
- Strong analytical skills with ability to translate complex legal concepts into business strategy
- Experience managing cross-border transactions in APAC and EMEA markets
