Responsibilities
- Lead complex mergers and acquisitions (M&A) from initial due diligence through to final closing and post-merger integration.
- Draft, review, and negotiate high-stakes commercial contracts, including master service agreements and international joint venture structures.
- Provide strategic legal counsel to C-suite executives on matters of corporate governance, SEC compliance, and risk mitigation.
- Oversee comprehensive intellectual property portfolios and develop global licensing and protection strategies.
- Manage large-scale commercial litigation and alternative dispute resolution processes for a portfolio of Fortune 500 clients.
- Mentor and develop junior associates, fostering a high-performance culture and ensuring the highest standards of legal work product.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school with top-tier academic credentials.
- Active membership in the District of Columbia Bar or eligibility for immediate admission via waiver.
- Minimum of 7 years of post-qualification experience in corporate law, preferably within a Tier-1 law firm or equivalent in-house role.
- Proven track record of leading multi-million dollar cross-border transactions and complex regulatory filings.
- Exceptional analytical, drafting, and negotiation skills with a meticulous attention to detail.
- Deep understanding of the US regulatory environment, including antitrust and international trade compliance.
- Strong business acumen and the ability to act as a strategic commercial advisor beyond traditional legal boundaries.
