Responsibilities
- Lead complex due diligence processes for high-value M&A transactions.
- Draft, review, and negotiate sophisticated commercial agreements and purchase documents.
- Provide expert counsel on corporate governance, SEC filings, and regulatory compliance.
- Manage junior associates and collaborate with cross-functional legal teams.
- Act as the primary point of contact for high-profile institutional clients.
- Coordinate with tax, intellectual property, and real estate specialists on multi-faceted deals.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited top-tier law school.
- Admission to the New York State Bar in good standing.
- 5-8 years of dedicated experience in a BigLaw corporate or transactional practice.
- Proven track record in managing complex M&A, private equity, or capital markets transactions.
- Exceptional drafting, analytical, and negotiation skills.
- High level of professional integrity and excellent project management capabilities.
- Ability to thrive in a fast-paced, high-pressure environment.
