Responsibilities
- Draft and negotiate complex commercial contracts, including M&A agreements, joint venture documents, and corporate bylaws.
- Provide strategic legal counsel to C-suite executives and Board members on corporate governance and fiduciary duties.
- Manage end-to-end deal processes, from initial due diligence to closing and post-merger integration.
- Mentor junior associates and provide oversight on research and memorandum drafting.
- Collaborate with tax, intellectual property, and labor law departments to provide comprehensive client solutions.
- Represent clients in high-stakes regulatory proceedings and corporate negotiations.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school with an excellent academic record.
- Admitted to the New York State Bar in good standing.
- 5-8 years of experience in corporate law, preferably at a peer AmLaw 50 firm.
- Proven expertise in cross-border M&A and corporate finance transactions.
- Exceptional analytical, drafting, and interpersonal communication skills.
- Demonstrated ability to thrive in a high-pressure, deadline-driven environment.
