Responsibilities
- Draft and negotiate complex transactional documents including merger agreements and disclosure schedules.
- Lead deal teams in high-stakes M&A and private equity due diligence processes.
- Advise corporate boards and executives on complex governance and regulatory compliance issues.
- Mentor junior associates and manage deal flow efficiency.
- Collaborate with tax, IP, and labor specialists to ensure comprehensive legal coverage for clients.
- Represent firm interests in high-level client meetings and negotiations.
Qualifications
- Juris Doctor (JD) degree from an accredited, top-tier law school.
- Active membership in the New York State Bar in good standing.
- 5-8 years of experience in corporate law at an AmLaw 100 firm.
- Expertise in M&A, private equity, and complex commercial contracts.
- Exceptional analytical, writing, and communication skills.
- Demonstrated ability to manage multiple high-pressure deadlines simultaneously.
- Strong track record of business development and client management.
