Responsibilities
- Lead and manage complex M&A transactions, joint ventures, and private equity deals.
- Draft and negotiate sophisticated commercial agreements, including stock purchase and merger agreements.
- Provide strategic legal counsel to clients regarding corporate governance and regulatory compliance.
- Conduct exhaustive due diligence processes to mitigate legal risks for high-stakes acquisitions.
- Collaborate cross-functionally with tax, IP, and litigation departments to ensure holistic client representation.
- Mentor and supervise junior associates, fostering a collaborative and high-output team culture.
Qualifications
- Juris Doctor (JD) degree from a top-tier law school with an excellent academic record.
- Admission to the New York State Bar in good standing.
- 5-8 years of substantive experience in corporate law at a peer firm.
- Proven expertise in managing multi-jurisdictional M&A transactions from inception to closing.
- Exceptional analytical, written, and oral communication skills.
- Demonstrated ability to thrive under pressure in a client-facing, billable-hour environment.
- Strong business acumen and the ability to translate complex legal issues into actionable client advice.
