Responsibilities
- Lead and manage complex cross-border M&A transactions and corporate restructuring projects.
- Draft, review, and negotiate sophisticated commercial contracts and investment agreements.
- Provide strategic legal counsel to C-suite executives on governance, compliance, and risk management.
- Oversee junior associates and manage deal teams to ensure timely execution and accuracy.
- Liaise with regulatory bodies to ensure strict adherence to federal and state corporate laws.
- Structure equity financing rounds and manage due diligence processes for private equity clients.
- Represent the firm in high-stakes negotiations and client presentations.
Qualifications
- Juris Doctor (JD) degree from a top-tier accredited law school.
- Active member in good standing of the New York State Bar.
- Minimum of 5-8 years of corporate law experience at a major national or international law firm.
- Proven track record in M&A, capital markets, and corporate governance.
- Exceptional drafting, analytical, and communication skills.
- Demonstrated leadership abilities with experience in mentorship and team management.
