Responsibilities
- Lead and manage complex corporate transactions, including mergers, acquisitions, and private equity investments.
- Draft, review, and negotiate a wide range of commercial contracts and agreements to mitigate risk.
- Advise clients on corporate governance matters, compliance issues, and regulatory requirements.
- Conduct thorough legal research and provide written memoranda on emerging legal issues.
- Mentor junior associates and legal staff, fostering a culture of excellence and collaboration.
- Represent the firm in court proceedings and regulatory hearings as necessary.
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school.
- Active membership in good standing with the New York State Bar Association.
- Minimum of 5-7 years of experience in corporate law, M&A, or securities law.
- Strong drafting and negotiation skills with a keen attention to detail.
- Proven ability to manage multiple high-profile cases simultaneously under tight deadlines.
- Excellent interpersonal and communication skills, capable of interacting with C-suite executives.
