Responsibilities
- Provide strategic legal counsel on corporate governance, mergers, acquisitions, and compliance matters
- Draft, review, and negotiate commercial contracts, shareholder agreements, and licensing arrangements
- Manage due diligence processes and risk assessment for high-value transactions
- Advise clients on regulatory compliance and corporate restructuring initiatives
- Develop internal legal policies and procedures to mitigate organizational risks
- Represent clients in negotiations and dispute resolution proceedings
- Maintain up-to-date knowledge of evolving corporate legal frameworks
Qualifications
- Juris Doctor (JD) degree from an ABA-accredited law school
- Active membership in the New York State Bar
- 5+ years of corporate law experience with a focus on M&A transactions
- Proven track record in drafting and negotiating complex commercial agreements
- Strong analytical skills with ability to translate legal concepts into business strategies
- Exceptional communication and client relationship management abilities
- Experience managing legal projects from initiation to closure
- Proficiency in legal research tools and contract management software
