Responsibilities
- Advise clients on corporate governance, mergers & acquisitions, and securities compliance
- Draft and negotiate high-stakes contracts including NDAs, JVs, and licensing agreements
- Manage litigation strategy and regulatory investigations for multinational corporations
- Develop risk mitigation frameworks for emerging technologies and data privacy regulations
- Lead cross-border transactional teams in international commercial law matters
- Maintain regulatory compliance with SEC, FTC, and international trade laws
- Train junior associates on legal research and best practices
Qualifications
- Juris Doctor degree from ABA-accredited institution
- Admitted to New York State Bar with 5+ years corporate law experience
- Proven expertise in M&A transactions and regulatory compliance
- Strong litigation background with federal court experience
- Advanced proficiency in legal research tools (Westlaw, LexisNexis)
- Excellent analytical writing and negotiation skills
- Experience managing international business law matters
- Certification in Corporate Compliance (CCEP) preferred
