Responsibilities
- Advise clients on mergers, acquisitions, and corporate restructuring transactions
- Draft and negotiate complex commercial contracts and shareholder agreements
- Ensure regulatory compliance across federal and state jurisdictions
- Manage litigation strategy and coordinate with external counsel
- Develop corporate governance policies and board materials
- Lead due diligence processes for multi-million dollar transactions
- Mentor junior attorneys and paralegals on best practices
Qualifications
- Juris Doctor (JD) degree from ABA-accredited law school
- Admitted to New York State Bar with 5+ years corporate law experience
- Track record handling M&A transactions and SEC filings
- Expertise in contract drafting, negotiation, and risk assessment
- Strong analytical skills with ability to interpret complex regulations
- Proven ability to manage high-pressure client relationships
- Excellent written and verbal communication skills
- Experience with legal technology (e.g., Relativity, Clio)
