Responsibilities
- Advise clients on mergers & acquisitions, securities offerings, and corporate restructuring
- Draft, negotiate, and manage complex commercial contracts and partnership agreements
- Develop and implement compliance programs for multinational corporations
- Lead litigation preparation and manage external litigation counsel
- Provide regulatory guidance across international jurisdictions
- Mentor junior attorneys and manage legal team workflows
Qualifications
- Juris Doctor degree from ABA-accredited law school
- 7+ years of corporate law experience at top-tier law firm
- Admitted to New York State Bar
- Expertise in SEC regulations and corporate governance
- Proven track record in M&A transactions ($50M+)
- Strong analytical skills with ability to synthesize complex legal concepts
- Exceptional negotiation and client management abilities
