Responsibilities
- Manage complex M&A due diligence and transaction documentation
- Draft and negotiate SEC filings, shareholder agreements, and corporate governance policies
- Advise clients on cross-border regulatory compliance (FCPA, GDPR)
- Conduct legal research using Westlaw and LexisNexis for precedent analysis
- Lead junior attorneys in transaction execution and closing procedures
- Develop client relationships through regular strategic consultations
Qualifications
- Juris Doctor (JD) from ABA-accredited law school
- 3+ years corporate law experience at top-tier firm
- Admitted to NY State Bar with active license
- Proven expertise in securities regulations and M&A documentation
- Exceptional research and drafting skills with attention to detail
- Ability to manage multiple high-priority deadlines simultaneously
- Strong academic credentials (top 25% law school class)
