Responsibilities
- Contract Management: Draft, review, and negotiate high-value commercial contracts, including service agreements, vendor contracts, and partnership deals.
- Corporate Governance: Advise the Board of Directors and executive management on corporate governance matters, statutory filings, and company secretarial duties.
- Risk Mitigation: Identify, assess, and mitigate legal risks associated with business operations, ensuring full compliance with UK and international regulatory frameworks.
- M&A Support: Provide comprehensive legal due diligence and advisory services during mergers, acquisitions, and joint venture negotiations.
- Dispute Resolution: Manage and oversee litigation processes, including working with external counsel to resolve commercial disputes efficiently.
- Policy Development: Develop and implement internal legal policies, procedures, and training programs to foster a culture of compliance.
Qualifications
- Qualification: Qualified Solicitor (SRA) or Barrister with full practice rights in the UK.
- Experience: A minimum of 6-8 years of post-qualification experience in Corporate and Commercial law.
- Regulatory Knowledge: Strong working knowledge of UK company law, employment law, and data protection regulations (GDPR).
- Commercial Acumen: Demonstrated ability to provide commercially astute legal advice that balances risk with business objectives.
- Communication: Exceptional written and verbal communication skills, with the ability to explain complex legal concepts to non-legal stakeholders.
- Technology: Proficiency in legal research platforms (e.g., Westlaw, LexisNexis) and document management systems.
