Responsibilities
- Provide expert legal counsel and strategic advice to the executive leadership team regarding corporate governance, mergers and acquisitions (M&A), and regulatory compliance.
- Draft, review, and negotiate complex commercial contracts, including service agreements, licensing deals, and NDAs.
- Oversee litigation management, working closely with external counsel to defend the company's interests in disputes.
- Develop and implement legal policies and procedures to mitigate risk and ensure adherence to local, state, and federal laws.
- Conduct thorough legal research and analysis on emerging legal issues relevant to the technology and finance sectors.
- Partner with cross-functional teams to provide legal input on product development, marketing initiatives, and intellectual property strategy.
Qualifications
- Juris Doctor (JD) degree from an accredited law school.
- Active license to practice law in New York (or willingness to obtain reciprocity).
- Minimum of 5-7 years of experience in corporate law, with a focus on transactional work.
- Strong understanding of corporate governance structures and regulatory frameworks.
- Excellent negotiation, communication, and interpersonal skills.
- Demonstrated ability to manage multiple priorities and meet tight deadlines in a fast-paced environment.
