Responsibilities
- Provide expert legal counsel on corporate governance, mergers and acquisitions (M&A), and commercial contract negotiations.
- Oversee the implementation and utilization of legal technology platforms and contract lifecycle management (CLM) systems.
- Conduct thorough legal research and risk assessments to identify potential liabilities in business operations.
- Manage litigation matters and coordinate with external counsel to defend the company's interests effectively.
- Advise on intellectual property rights, data privacy compliance, and regulatory standards.
- Develop and implement compliance programs to ensure adherence to federal and state laws.
- Collaborate with cross-functional departments to integrate legal requirements into business development initiatives.
Qualifications
- Juris Doctor (J.D.) degree from an accredited law school.
- Active license to practice law in New York State.
- Minimum of 7 years of experience in corporate law, with a focus on technology or professional services.
- Proven track record in managing complex transactions and litigation.
- Strong command of legal research tools and electronic discovery platforms.
- Exceptional written and verbal communication skills with the ability to translate complex legal concepts for non-legal stakeholders.
- High level of integrity, discretion, and strategic thinking.
